This Agreement (“Agreement”) shall be deemed effective as of August 24, 2011 (the “Effective Date”), between WiMacTel, Inc. (“WiMacTel”), a corporation organized under the laws of the State of Delaware, with offices at 2225 East Bayshore Road, Suite 200, Palo Alto, CA 94303- 3220 and Verizon New England Inc., d/b/a Verizon Massachusetts (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and WiMacTel may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
