This SETTLEMENT AGREEMENT (the “Agreement”) is entered into as of November 19, 2013, by and between (i) the National Credit Union Administration (“NCUA”) Board, as Liquidating Agent of U.S. Central Federal Credit Union (“U.S Central”), Western Corporate Federal Credit Union (“Western”), Southwest Corporate Federal Credit Union (“Southwest”), Members United Corporate Federal Credit Union (“Members”) and Constitution Corporate Federal Credit Union (“Constitution”) (collectively, the “Credit Unions”, and the NCUA Board as liquidating agent for each Credit Union and the Credit Unions collectively, the “Liquidating Agent(s)”), on the one hand, and (ii) J.P.
