This consent and subordination agreement (this “Consent”) between Florida Sawmills L.P. (“FS LP” or, along with its successors and assigns, the “Lenders”) and each of Asgaard Capital LLC, Westerman Ball Ederer Miller Zucker & Scharfstein, LLP, and Morris, Nichols, Arsht & Tunnell LLP (collectively, the “Professionals”) references the respective engagement agreements between Klausner Lumber One LLC (“KL1 LLC” or the “Company”) and each of the Professionals each effective as of April 24, 2020 (collectively, the “Engagement Agreements”). All capitalized terms not defined herein have the meanings ascribed in the Engagement Agreements.
