The undersigned, RBC Capital Markets, LLC as representative (the “Representative”) of itself and _____________ (the “Underwriters”), offers to enter into this Purchase Contract (the “Purchase Contract”) with the Santa Monica Community College District (the “District”), which, upon the District’s acceptance hereof, will be binding upon the District and the Underwriters. This offer is made subject to the written acceptance of this Purchase Contract by the District and delivery of such acceptance to us at or prior to 11:59 P.M., California Time, on the date hereof. Capitalized terms used and not otherwise defined herein shall have the meanings given to such terms in the Resolution (defined below).
