Pursuant to the Agreement and Plan of Merger (the “Merger Agreement”), dated as of May 15, 2014, by and among Alliance Bancshares, Inc. (“Alliance”), Community & Southern Holdings, Inc. (“Community & Southern”), and CSB Merger Sub II, LLC, a wholly owned subsidiary of Community & Southern (“Merger Sub”), and the related merger of Merger Sub with and into Alliance (the “Merger”), the undersigned encloses herewith and surrenders the certificate(s) described below representing shares of Alliance common stock, in exchange for the Merger Consideration (as defined below) on the terms and subject to the conditions set forth in the Merger Agreement and this Letter of Transmittal.
