The undersigned, Stifel, Nicolaus & Company, Incorporated (the “Underwriter”), hereby offers to purchase from the Consolidated School District No. 6 of Jefferson County, Missouri (the “District”), a body corporate and politic and political subdivision of the State of Missouri (the “State”), $ aggregate principal amount of General Obligation Bonds (Missouri Direct Deposit Program), Series 2021A (the “Series 2021A Bonds”) and $ aggregate principal amount of Taxable General Obligation Refunding Bonds (Missouri Direct Deposit Program), Series 2021B (the “Series 2021B Bonds” and, together with the Series 2021A Bonds, the “Bonds”). The issuance and sale of the Bonds is authorized by a resolution (the “Bond Resolution”) adopted by the Board of Education of the District on April 20, 2021. Capitalized terms not otherwise defined herein have the meaning given such terms in the Bond Resolution.
