United States Surgical Corporation, a Delaware corporation (“Parent”), Covidien DE Corp., a Delaware corporation (“Sub”) and Somanetics Corporation, a Michigan corporation (the “Company”), have entered into, simultaneously with the execution and delivery hereof, an Agreement and Plan of Merger (the “Merger Agreement”).
