This Memorandum of Understanding (the “MOU”), is made and entered into by and between the San Francisco Society for the Prevention of Cruelty to Animals, a California nonprofit public benefit corporation (the “SF SPCA”), and the City of Coalinga, a municipal corporation (the “City”), as of [ ], 2016 (the “Effective Date”). The SF SPCA and the City are sometimes referred to herein individually as a “Party” or collectively as the “Parties”. This MOU identifies the roles and responsibilities of, and contains basic provisions that are intended to guide the working relationship between, the Parties. The Parties hereby agree as follows:
