WHEREAS Trevali and Maple are entering into this Agreement pursuant to a combination agreement dated the 14th day of May, 2012 (the “Combination Agreement”) between Trevali, Trevali Mining (New Brunswick) Ltd. and Maple pursuant to which, subject to the fulfillment or waiver of all conditions in the Combination Agreement, Trevali will become the successor of all of the assets and undertaking of Maple (herein the “Transaction”);
