This Master Subscription Agreement is made and entered into between PICS AUDITING, LLC (“PICS”) and the Customer identified at the signature block below (“Customer”). The term “Customer” shall also include Customer’s authorized Affiliates (as defined below). The terms and conditions of this Agreement together the terms contained in any applicable Sales Order or Sales Orders (collectively, this “Agreement”) shall govern Customer’s subscription to PICS Platform and the applicable PICS Platform database modules. Customer agrees that purchases hereunder are neither contingent on the delivery of any future functionality or features nor dependent on any oral or written comments made by PICS regarding future functionality or features.
