THIS INDENTURE OF TRUST (this “Indenture”), made and entered into and dated as of September 1, 2021, by and between the CITY OF GARDENA FINANCING AGENCY, a joint ex- ercise of powers entity organized and existing under and by virtue of the laws of the State of California (the “Agency”), and U.S. BANK NATIONAL ASSOCIATION, a national banking as- sociation organized and existing under and by virtue of the laws of the United States of America with a corporate trust office in Los Angeles, California, and being qualified to accept and admin- ister the trusts hereby created (the “Trustee”);
