Ekso Bionics Holdings, Inc. a Nevada corporation (the “Company”), proposes to issue and sell to the several underwriters named in Schedule A (the “Underwriters”) (i) an aggregate of 6,666,667 shares (the “Shares”) of its common stock, par value $0.001 per share (the “Common Stock”) and (ii) warrants, substantially in the form of Annex A hereto, to purchase an aggregate of 6,666,667 shares of Common Stock with an exercise price equal to $2.00, per share (the “Warrants” and together with the Shares, the “Securities”). Cantor Fitzgerald & Co. (“Cantor”) and SunTrust Robinson Humphrey, Inc. (“SunTrust”) have agreed to act as representatives of the several Underwriters (in such capacity, the “Representatives”) in connection with the offering and sale of the Securities.
