WHEREAS pursuant to the terms of the Commitment Letter, the Lead Arranger has provided, and pursuant to the terms of the Underwriting Agreement, the Lead Arranger will provide, covenants and undertakings in favour of the Funding Vehicle including to purchase all the FV Bonds issued by the Funding Vehicle pursuant to the MTI up to the aggregate amount of FV Bonds permitted to be issued thereunder, and to market the sale and issuance thereof, the whole as contemplated in the Commitment Letter;
