This LOAN AND SERVICING AGREEMENT dated as of December 20, 2005 is among PSE FUNDING, INC., a Washington corporation (the “Borrower”), PUGET SOUND ENERGY, INC., a Washington corporation (“PSE” and as initial Servicer) (the Servicer together with Borrower, the “Borrower Parties” and each a “Borrower Party”), THE COMMERCIAL PAPER CONDUITS FROM TIME TO TIME PARTY HERETO (each individually, a “Conduit Lender”), THE FINANCIAL INSTITUTIONS FROM TIME TO TIME PARTY HERETO (each individually, a “Committed Lender”; and collectively with the Conduit Lenders, the “Lenders”), THE ENTITIES FROM TIME TO TIME PARTY HERETO AS MANAGING AGENTS and their permitted successors and assigns (each individually, a “Managing Agent”), and JPMORGAN CHASE BANK, N.A.
