THIS MEMORANDUM OF UNDERSTANDING (“MOU”) is entered into as of the 5th day of April, 2019 by and among Purdue Research Foundation (“PRF”), The Trustees of Purdue University (the “University”), the City of West Lafayette (the “City”) and the Joint Board (the “Joint Board”) organized under that certain Interlocal Cooperation Agreement dated as of March 12, 2014 (as amended and supplemented through the date hereof, the “Interlocal Agreement”) by and between the City and the University. PRF, the University, the City and the Joint Board are each referred to herein individually as a “Party” and collectively as the “Parties.”
