This Registration Rights Agreement (this “Agreement”) is made and entered into as of April 1, 2024 (the “Effective Date”), between Grom Social Enterprises, Inc., a Florida corporation (the “Company”), and Generating Alpha Ltd., a Saint Kitts and Nevis corporation (“Buyer”).
