(hereinafter referred to as the “Assignment”) is made by and among (i) the State of New York, acting by and through the Office of General Services with offices located at 36th Floor, Corning Tower, Empire State Plaza, Albany NY 12242 (hereinafter referred to as the “State”) and (ii) Grant Thornton, LLP, having its principal place of business at 1000 Wilson Blvd., Suite 1500, Arlington, VA 22209-3927, with Employer Identification Number 36-6055558 and NYS Vendor Number 1000053017, (hereinafter referred to as “Transferor”) and (iii) Guidehouse Inc., having a principal place of business at 1676 International Drive, Suite 800, McLean, VA 22102, with Employer Identification Number 36-4094854 and NYS Vendor Number 1100260880 (hereinafter referred to as “Transferee”). The State, the Transferor, and the Transferee are hereinafter collectively referred to as the “Parties.” The Assignment is effective on the day of , 2023.
