This EMPLOYMENT AGREEMENT is entered into effective as of this 31st day of December, 2004, by and among W. Swope Montgomery, Jr. (the “Executive”), BNC Bancorp, a North Carolina corporation, and Bank of North Carolina, a North Carolina-chartered bank and wholly owned subsidiary of BNC Bancorp. BNC Bancorp and Bank of North Carolina are hereinafter sometimes referred to together or individually as “BNC.”
