(the “Long Term Tax Exemption Law”), having its principal office at c/o Togus Urban Renewal LLC, 750 Lexington Avenue, 24th Floor, New York, New York 10022 (the “Entity”); and the CITY OF BAYONNE, a municipal corporation in the County of Hudson and State of New Jersey with an address of 630 Avenue C, Bayonne, New Jersey 07002 (the “City”, and together with the Entity, the “Parties” or “Party”).
