This Agreement in all matters and issues collateral thereto shall be governed by laws of the State of Florida applicable to contracts entered into and performed entirely within the State of Florida, with respect to the determination of any claim, dispute or disagreement, which may arise out of the interpretation, performance or breach of this agreement, and will be subject to enforcement and interpretation solely in the appropriate courts of the State of Florida. Venue shall be established in Okaloosa County, Florida. ATTORNEY 'S FEES If any legal action or proceeding arising out of, or relating to this agreement, the prevailing party shall be entitled to re ceive from the other party, in addition to any other relief that may be granted, the reasonable attorney's fees, costs, and expenses incurre d in the action or proceeding by the prevailing party.
