This Disclosure Dissemination Agent Agreement (the “Disclosure Agreement”), dated and effective as of , 2020, is executed and delivered by the County of San Luis Obispo, a political subdivision, organized and existing under the Constitution and laws of the State of California on behalf of the SLO County Financing Authority (the “Issuer”) and Digital Assurance Certification, L.L.C., as exclusive Disclosure Dissemination Agent (the “Disclosure Dissemination Agent” or “DAC”) for the benefit of the Holders (hereinafter defined) of the Bonds (hereinafter defined) and in order to assist the Issuer in processing certain continuing disclosure with respect to the Bonds in accordance with Rule 15c2- 12 of the United States Securities and Exchange Commission under the Securities Exchange Act of 1934, as the same may be amended from time to time (the “Rule”).
