On October 16, 2020, Helix Technologies, Inc., or ‘‘Helix,’’ Forian Inc., or ‘‘Forian,’’ and Medical Outcomes Research Analytics, LLC, or ‘‘MOR’’ entered into an Agreement and Plan of Merger, as amended by Amendment to Agreement and Plan of Merger, dated as of December 30, 2020, as further amended by Amendment No. 2 to Agreement and Plan of Merger, dated February 9, 2021 (which, as so amended and as it may be further amended, supplemented, or modified from time to time, we refer to as the ‘‘merger agreement’’), providing for the merger of a subsidiary of Forian with and into Helix (which we refer to as the ‘‘Helix merger’’), with Helix, following the merger, to be the surviving corporation and a wholly-owned subsidiary of Forian.
