THIS AMENDED AND RESTATED LOAN AND SECURITY AGREEMENT (together with any schedule, annex, or exhibit attached hereto, as the same may be amended, restated, or otherwise modified, this “Agreement”) is entered into on June 15, 2004 (the “Effective Date”) between SILICON VALLEY BANK (“Bank”), whose address is 3003 Tasman Drive, Santa Clara, California 95054, and REDBACK NETWORKS INC., a Delaware corporation (“Borrower”), whose chief executive office is 300 Holger Way, San Jose, California 95134 (“Borrower’s Address”), and amends, restates, replaces and supersedes in its entirety that certain Loan and Security Agreement dated the Original Closing Date, between Bank and Borrower.
