THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) is executed as of this 23rd day of February, 2016, (the “Effective Date”), by and among NEO Yolo LLC, a Delaware limited liability company (“NEO”), MM Yolo Power LLC, a Delaware limited liability company (“MM”, and together with NEO, “Sellers”), and the County of Yolo, a political subdivision of the State of California (“Buyer”).
