THIS PARTICIPATION-COMPANY AGREEMENT ("Agreement") is entered into by and between and among the LeadingCare Network Texas, LLC, a Texas limited liability company (the "Company") and the members set forth on the signature pages of each Member, a form of which is attached hereto as Schedule B (each, a "Member" and collectively, the “Members”, and collectively, with the Company, the "Parties"). Upon receipt of all signature pages of the initial Members, LeadingAge Texas shall compile a list of initial Members to be attached to this Agreement as Schedule A. This Agreement shall be effective upon the Company’s receipt of the first signature page from a Member. The Parties to this Agreement, for good and valuable consideration, the adequacy and receipt of which are hereby acknowledged, agree as follows:
