THIS STOCK PURCHASE AGREEMENT (this Agreement"), dated May 30, 2022, is made by and between LANDSEA HOLDINGS CORPORATION, a Delaware corporation with a principal place of business at 660 Newport Center Drive, Suite 300, Newport Beach, California 92660 (the "Seller"), and Green Investment Alpha Limited, a company organized under the laws of the British Virgin Islands with a principal place of business at Rooms 1007-102, 10/F, K Wah Centre, 191 Java Road, North Point Hong Kong (the "Purchaser"). The Purchaser and the Seller are sometimes hereinafter collectively referred to as the "Parties".
