This Agreement is made and entered into as of (“Effective Date”) by and between the City of Milpitas, a municipal corporation organized and operating under the laws of the State of California with its principal place of business at 455 E. Calaveras Boulevard, Milpitas, California 95035 (“City” or “Biller”), and Invoice Cloud Inc., a Delaware corporation with its principal place of business at 30 Braintree Hill Office Park, Suite 101 Braintree, MA 02184 (hereinafter referred to as “Consultant” or “Invoice Cloud”). City and Consultant are sometimes individually referred to as “Party” and collectively as “Parties” in this Agreement.
