This letter agreement (this “Agreement”) sets forth the terms and conditions of the engagement of M-III Advisory Partners, LP (“M-III”) to provide the Services described below (the “Engagement”) to (a) Sable Permian Resources, LLC, (b) SPR Stock Holdings, LLC, (c) Sable Permian Resources Operating, LLC, (d) SPR Holdings, LLC, (e) SPRH Finance Corporation, (f) Sable Permian Resources Corporation, (g) Sable Permian Resources Finance, LLC, (h) SPR Finance Corporation, (i) Sable Land Company, LLC and (j) such other affiliates thereof that are debtors and debtors in possession in their pending chapter 11 cases (collectively, the “Client” or the “Debtors”). M-III and the Client are collectively referred to in this Agreement as the “Parties.”
