This Settlement Agreement is entered into between the California Air Resources Board (CARB), with its principal location at 1001 I Street, Sacramento, California 95814; and Mercedes-Benz USA LLC (MBUSA), with its principal location at One Mercedes-Benz Drive, Sandy Springs, Georgia 30328, on behalf of Mercedes-Benz AG (MBAG) (the indirect parent company of MBUSA), with its principal location at Mercedesstrasse 120, 70372 Stuttgart, Germany. Solely for purposes of this Settlement Agreement, MBUSA and MBAG are collectively referred to hereinafter as "Mercedes-Benz." (CARB and Mercedes-Benz are collectively referred to as the “Parties,” or individually, “Party”).
