This Restructuring Support Agreement (together with the exhibits and schedules attached hereto, as each may be amended, restated, supplemented, or otherwise modified from time to time in accordance with the terms hereof, the “Agreement”), is entered into as of December 18, 2018 (the “Effective Date”) by and among: (i) Frank Entertainment Group, LLC (the “Borrower”) and the subsidiary entities identified on the signature pages of this Agreement (collectively, the “Guarantors” and, together with Borrower, the “Debtors”), (ii) the Agent and Senior Lenders (as defined below), (iii) the Subordinated Lenders (as defined below), and (iv) the Securities Holders (as defined below). The Debtors, the Senior Lenders, the Subordinated Lenders, and the Securities Holders are each referred to herein as a “Party” and collectively as the “Parties.”
