SECOND AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT of Senior Credit Investments, LLC (the “Company”), to the fullest extent permitted by law, as amongst the parties hereto, entered into February 2, 2024, effective as of December 7, 2023, by and among Jefferies Credit Partners LLC, a limited liability company formed under the laws of the State of Delaware, the initial sole member of the Company ( “Jefferies Credit Partners,” or “Initial Member”), and Platinum Falcon B 2018 RSC Limited (“Platinum”), which has entered into a Subscription Agreement with the Company for the purchase of common limited liability company units (collectively, the “Units” or “Common Units”) in the Company, and shall be admitted as a Member on the date of the Initial Closing upon its execution and delivery of a counterpart signature page to this Agreement.
