THIS AGREEMENT AND PLAN OF MERGER (this “Agreement”) is made and entered into as of April 6, 2015, by and among Italics Inc., a Delaware corporation (“Newco”), Italics Merger Sub Inc., a Delaware corporation and a wholly owned subsidiary of Newco (“Merger Sub”), and Informatica Corporation, a Delaware corporation (the “Company”).
