This Agreement amends and restates the Commercial Paper Dealer Agreement dated as of May 22, 2008 among the Issuer, Ingersoll-Rand Company Limited and the Dealer (the “Original Agreement”), provided that the terms of the Original Agreement shall be deemed to remain in effect with respect to all Existing Program Notes purchased or placed by the Dealer under the Original Agreement.
