Jarden Corporation, a Delaware corporation (the “Company”), proposes to issue and sell to (i) the several parties listed in Schedule 1 hereto (each an “Underwriter” and together, the “Underwriters”), for whom Barclays Capital Inc. (the “Representative”) is acting as representative, $300,000,000 aggregate principal amount of its 6 1/8% Senior Notes due 2022 (the “Notes”). The Notes will be unconditionally guaranteed (the “Guarantees” and, together with the Notes, the “Securities”) on a joint and several basis by certain of the subsidiaries of the Company listed on Schedule 2 hereto (the “Guarantors”).
