This letter of intent (this “Letter”) is entered into as of February , 2023, among West Fargo Hockey Association, Inc. (“WFHA”), the West Fargo Park District (“Parks”), and West Fargo Public Schools (“School District”), regarding the redevelopment of Veterans Memorial Arena (the “Arena”), presently a two-sheet ice arena complex used for ice hockey and other sports and events. WFHA, Parks and School District are each sometimes referred to herein as a “party” and, collectively, as the “parties”. The primary purpose of this Letter is to set forth the parties intentions with respect to the Project and certain material terms that will serve as the basis for negotiating Definitive Agreements and for WFHA’s Capital Campaign.
