This CREDIT AND SECURITY AGREEMENT (including all exhibits and schedules hereto, as the same may be amended, modified and/or restated from time to time, this “Agreement”) is entered into as of [Date], by and among GENERAL WIRELESS OPERATIONS INC., a Delaware corporation (the “Borrower”), CORTLAND CAPITAL MARKET SERVICES LLC, a Delaware limited liability company, as agent for the Lenders (solely in such capacity, together with its successors and assigns in such capacity, the “Agent”), and the financial institutions from time to time party hereto, as lenders (collectively, the “Lenders” and individually each a “Lender”).
