(“Donnelley” or “Company”) and to further the Company’s interests, we are pleased to offer you a new employment letter (“Agreement”). The purpose of this Agreement is to amend and restate in its entirety the Employment Agreement between you and Donnelley dated February 5, 2007. All capitalized terms used but not defined in the text of this Agreement shall have the meanings assigned to such terms in Annex A.
