THIS CONSENT AND LOAN MODIFICATION AGREEMENT ("Agreement") is dated as of the day of June, 1997 (the "Effective Date"), by and between THE SUMITOMO --- BANK, LIMITED, a Japanese banking institution acting through its NEW YORK BRANCH ("Lender"), STUART S. LEVIN and GERALD R. PERRAS, either of whom may act ("Trustee"), SOUTHWEST MARKET LIMITED PARTNERSHIP, a District of Columbia limited partnership ("Borrower"), BOSTON PROPERTIES LIMITED PARTNERSHIP, a Delaware limited partnership (the "Operating Partnership"), and MORTIMER B. ZUCKERMAN and EDWARD H. LINDE (each an "Initial Guarantor" and jointly and severally the "Initial Guarantors").
