This User Agreement (“Agreement”) is entered into by and between Smartsheet Inc. ("Smartsheet") and any individual or entity (“Customer”) prior to Customer’s use of the Subscription Service. This Agreement governs the use of the Subscription Service, any Professional Services, and any other products or services received from Smartsheet by Customer, whether on a free or paid basis (collectively, the “Services”). If Customer is a direct competitor to Smartsheet, Smartsheet reserves the right to disallow Customer’s access to the Services.
