WHEREAS, NBU and the Professional entered into the Professional Services Agreement dated November 5, 2020, (the “Original Agreement”), to provide design phase services, bid phase services, and construction phase services for the Sam C. McKenzie, Jr. Water Reclamation Facility (“McKenzie WRF”) Expansion Project (the “Project”), to be completed by April 4, 2025;
