This First Amendment to Agreement and Plan of Merger (this “First Amendment”) is entered into as of January 9, 2020 (the “Effective Date”), by and among Aytu Bioscience Inc., a Delaware corporation (“Aytu”), Innovus Pharmaceuticals, Inc., a Nevada corporation (the “Target”), and Aytu Acquisition Sub, Inc., a Delaware corporation (“Merger Sub”).
