General Terms and Conditions for Indirect Procurement

Unless superseded by a written supply agreement entered into by both parties (“Supply Agreement”), these terms and conditions contained herein, any files linked herewith, and any other attachments to this PO (“collectively the “PO”) constitute the complete and exclusive agreement between the Buyer issuing the PO as noted on the first page (“Buyer”) and Supplier (“Supplier”). The PO is limited to and conditional upon Supplier’s acceptance of these terms and conditions exclusively. The PO does not constitute an acceptance of any offer or counteroffer made, or sales order or quotation submitted, by Supplier. Any reference in the PO to any offer or proposal made by Supplier is solely to incorporate the description or specifications of Deliverables in the prior proposal, but only to the extent that the description or specifications do not conflict with the description and specifications in the PO.
