THIS SECOND AMENDED AND RESTATED STOCK OPTION AGREEMENT (this “Agreement”), dated this 14th day of August, 2015, by and between Novation Companies, Inc., a Maryland corporation (formerly known as NovaStar Financial, Inc., the “Company”) and W. Lance Anderson, an individual employee of the Company (the “Optionee”). The Company and the Optionee are sometimes referred to herein individually as a “Party” and collectively as the “Parties”.
