WHEREAS, the Secretary agreed to make an equity contribution of $75 billion from the Exchange Stabilization Fund, with an investment authorized by the Coronavirus Aid, Relief, and Economic Security (CARES) Act, to the LLC, a special purpose vehicle established by the Federal Reserve Bank of Boston, as Managing Member of the LLC (in such capacity, the "Managing Member"), to implement the Main Street Lending Program, with transfers of such equity contribution to be made in accordance with the terms of the Amended and Restated Limited Liability Company Agreement of MS Facilities LLC, dated as of May 29, 2020 (the “LLC Agreement”).
