ARMOUR Residential REIT, Inc., a Maryland corporation (the “Company”), that is externally managed by ARMOUR Capital Management LP, a Delaware limited partnership (the “Manager”), BUCKLER Securities LLC (“BUCKLER”), JMP Securities LLC (“JMP”), Ladenburg Thalmann & Co. Inc. (“Ladenburg”), B. Riley Securities, Inc. (“B. Riley Securities”) and JonesTrading Institutional Services LLC (“JonesTrading” and together with BUCKLER, JMP, Ladenburg and B. Riley Securities, the “Agents”) are parties to that certain Second Amended and Restated Equity Sales Agreement dated June 9, 2022 (the “Original Sales Agreement”). The Company and the Agents desire to amend and restate the Original Sales Agreement with this agreement (the “Agreement”), and hereby agree as follows:
