THIS AGREEMENT is entered into and effective the last date executed below by and between the South Carolina Department of Administration, through its Division of Technology Operations (hereinafter referred to as "DTO" or "State"), with its principal offices for the purposes of this Agreement are located at 4430 Broad River Road, Columbia, South Carolina 29210 and Motorola Solutions, Inc. (hereinafter referred to as "Motorola"), with its principal office for purposes of this Agreement is located at 500 W. Monroe Street, Suite 4400, Chicago, IL 60661. Motorola and DTO will each be referred to herein as a “Party” and collectively as the “Parties”.
