This Agreement (“Agreement”) shall be deemed effective as of September 29, 2006 (the “Effective Date”), between Spectravoice, Inc. (“SI”), a corporation organized under the laws of the State of Delaware, with offices at 550 Deslauriers, St-Laurent, Quebec, Canada, H4N 1V8 and Verizon New England Inc., d/b/a Verizon Massachusetts (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and SI may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
