Capitalized terms used throughout this Agreement shall have the meanings set forth below, unless otherwise specifically defined herein. “Agreement” has the meaning set forth in the Preamble. “Amorco Assets” has the meaning set forth in the Recitals. “Applicable Law” means any applicable statute, law, regulation, ordinance, rule, determination, judgment, rule of law, order, decree, permit, approval, concession, grant, franchise, license, requirement, or any similar form of decision of, or any provision or condition of any permit, license or other operating authorization issued by any Governmental Authority having or asserting jurisdiction over the matter or matters in question, whether now or hereafter in effect. “Barrel” means a volume equal to 42 U.S. gallons of 231 cubic inches each, at 60 degrees Fahrenheit under one atmosphere of pressure. “Business Day” means a day, other than a Saturday or Sunday, on which banks in New York, New York are open for the general transaction of busine

This Amorco Marine Terminal Use and Throughput Agreement (the “Agreement”) is dated effective as of the Commencement Date (as defined below in Section 4), by and between Tesoro Refining and Marketing Company, a Delaware corporation (“TRMC”) and Tesoro Logistics Operations LLC, a Delaware limited liability company (“TLO”).
