This INTELLECTUAL PROPERTY SECURITY AGREEMENT is entered into as of February 24, 2022 (this “Agreement”), by iFIT Inc., a Delaware corporation, and Icon IP, Inc., a Delaware corporation (each, a “Grantor”) in favor of LC9 Connected Holdings, LP, as administrative agent and collateral agent for the holders under the Promissory Notes referred to below (the “Agent”).
