This letter agreement (this “Letter Agreement”) is entered into in connection with the investment by Arc Chicago, LLC (“Arc”), a Delaware limited liability company, of $5,000,000 (the “Investment”) in the membership interests of CIC Mezzanine Investors, L.L.C., an Illinois limited liability company (the “Fund”). The John D. and Catherine T. MacArthur Foundation (the “Foundation”), a not-for-profit corporation formed in the State of Illinois that is a tax-exempt private foundation described in Section 501(c)(3) of the Internal Revenue Code of 1986, as amended (the “Code”) is the sole member of Arc and therefore, for tax purposes, Arc is a disregarded entity with respect to the Foundation..
